These Terms of Service govern your use of the Haskera HIPAA Compliance Platform operated by Haskera. Please read these Terms carefully before using our service.
1. Acceptance of Terms
By accessing or using Haskera ("the Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using Haskera on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Platform.
2. Description of Service
Haskera is a HIPAA compliance management platform designed to help healthcare practices assess their compliance posture, generate policies, track vendors and business associates, and produce audit-ready reports. The Platform includes:
• Automated HIPAA gap analysis across 40+ controls.
• AI-assisted policy document generation.
• Vendor and Business Associate Agreement (BAA) tracking.
• Staff training records management.
• Compliance score history and trend reporting.
• Shareable read-only auditor reports.
Important: Haskera is a compliance management tool. It does not constitute legal advice, and use of the Platform does not guarantee HIPAA compliance. You are responsible for your organization's compliance with applicable laws and regulations.
3. Account Registration
To use the Platform, you must create an account using Manus OAuth authentication. You agree to:
• Provide accurate and complete information during registration.
• Maintain the security of your account credentials.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
4. Subscription Plans and Payment
Haskera offers a free tier with limited features and a paid Pro subscription. By subscribing to the Pro plan, you agree to:
• Pay the applicable subscription fees as described on the Pricing page.
• Authorize us to charge your payment method on a recurring basis.
• Provide accurate billing information.
Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.
Price Changes: We may change subscription prices with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.
Payments are processed by Stripe. By making a payment, you also agree to Stripe's Terms of Service.
5. Acceptable Use
You agree not to use the Platform to:
• Violate any applicable law or regulation, including HIPAA and other healthcare privacy laws.
• Store, transmit, or process actual Protected Health Information (PHI) about patients.
• Attempt to gain unauthorized access to any part of the Platform or its infrastructure.
• Introduce malware, viruses, or other malicious code.
• Scrape, harvest, or extract data from the Platform without authorization.
• Impersonate any person or entity.
• Use the Platform for any purpose other than legitimate compliance management.
Violation of these restrictions may result in immediate account termination and, where applicable, legal action.
6. Intellectual Property
Our IP: The Platform, including its software, design, text, graphics, and all other content, is owned by Haskera and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
Your Data: You retain ownership of all compliance data, policy documents, and other content you create within the Platform ("Your Content"). By using the Platform, you grant us a limited license to store, process, and display Your Content solely to provide the service to you.
AI-Generated Content: Policy documents generated by the AI feature are provided for your use. You are responsible for reviewing, customizing, and validating AI-generated content before using it in your compliance program.
7. Data Security and HIPAA
We implement industry-standard security measures to protect your data. However, you acknowledge that:
• No system is completely secure, and we cannot guarantee absolute security.
• You are responsible for ensuring that your use of the Platform complies with HIPAA and other applicable regulations.
• You must not enter actual patient PHI into any field within the Platform.
Business Associate Agreement: If your use of Haskera involves the creation, receipt, maintenance, or transmission of PHI on behalf of a Covered Entity, a Business Associate Agreement (BAA) is required. Contact [email protected] to execute a BAA before such use.
8. Disclaimers and Limitation of Liability
Disclaimer of Warranties: The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
No Legal Advice: Nothing in the Platform constitutes legal, regulatory, or compliance advice. Consult qualified legal counsel for advice specific to your situation.
Limitation of Liability: To the maximum extent permitted by law, Haskera shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Haskera and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
• Your use of the Platform in violation of these Terms.
• Your violation of any applicable law or regulation.
• Your infringement of any third-party rights.
• Any PHI or other sensitive data you improperly enter into the Platform.
10. Termination
By You: You may terminate your account at any time by contacting us or using the account deletion feature.
By Us: We may suspend or terminate your account immediately if you violate these Terms, fail to pay applicable fees, or for any other reason at our discretion with reasonable notice.
Effect of Termination: Upon termination, your right to use the Platform ceases immediately. We will delete your data within 90 days of termination, subject to legal retention requirements.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Platform. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance.
